Villa Rosa is an exclusive luxury retreat dedicated to wine, gastronomy and well-being, located in the center of Peso da Régua, right in the heart of the Douro Valley. It is the acquisition of a fully prepared luxury wine hospitality company in the centre of Douro Valley. The buyer is not only acquiring the property but the asset, the company, the installed operation, the wine inventory, the brand concept, the financing structure and the commercial timing. The property was valued by the bank at 1.8 million before the renovation works. That valuation did not include the completed rehabilitation, the full interior fit-out, the wine cellar, the brand, the licensing path or the operational readiness now in place. Inside the company there is approximately 1.5 million of capital already invested. Around 300,000 may be recovered through shareholder loans, subject to final legal and accounting confirmation. The remaining 1.2 million may create a corporate tax shield against future taxable profits. Using a conservative 19% Portuguese corporate income tax rate, this represents an estimated tax value of approximately 228,000. Villa Rosa also includes a complete operating package: furniture, decoration, professional kitchen, restaurant equipment, gym, SPA, pool systems, solar panels, EV charger, air conditioning, alarm, sound system, POS equipment, TV distribution, telephone exchange, garden design, irrigation system, website, hotel management system and all guest-facing infrastructure required to open and operate. This turnkey package has a conservative value above 200,000.This creates more than 1.24 million of additional identifiable value or economic offset.The shortcut is the deal.
